Terms of Sale
销售条款
Application
These terms apply to all quotations, orders and sales made by Guangzhou Renfeng Technology Co.,Ltd (广州壬锋科技有限公司), referred to as "Renfeng", "we" or "us". The buyer is referred to as "you" or "the buyer".
Where a signed quotation or proforma invoice conflicts with these terms, that document takes precedence.
Quotations and pricing
All prices are in US dollars unless stated otherwise. Quotations are firm for 30 days from the date of issue. Volume price tiers are honoured at the quantities specified and do not require the buyer to take the full tier quantity at once, only to commit to it.
Prices exclude import duty, import licence fees and any tax or levy imposed in the destination country.
Payment terms
Standard terms for a first order: 30% T/T deposit on order confirmation, balance against a copy of the bill of lading. Alternative terms: 100% TTT in advance for orders below USD 5,000; irrevocable letter of credit at sight for orders above USD 50,000.
Credit terms of 30 days net are available to established customers after two or three settled orders and subject to credit approval. We do not extend unsecured credit to a buyer we have not shipped to.
Payment is due in USD by bank transfer to the account stated on the proforma invoice. Bank charges on incoming payments are borne by the buyer; we credit the received amount net of charges.
Title and risk
Risk passes to the buyer:
- FOB Shenzhen: when the goods are loaded on board the vessel at the named port.
- CIF: when the goods cross the ship's rail at the port of loading, with freight and insurance paid by us to the named destination port.
Title in the goods passes to the buyer on receipt of payment in full. Nothing in these terms affects our right of lien over unpaid goods.
Inspection period
The buyer shall inspect the goods within 7 days of arrival at the destination. Claims for shortage, damage or non-conformity must be notified in writing within 7 days of delivery, with photographic evidence of the packaging taken before the goods were unpacked.
Claims notified after this period cannot be supported by carrier claims and will not be accepted, except where the defect was not reasonably discoverable on inspection.
Condition of goods
Goods are sold as described on the product page and the packing list, by grade. Buyer accepts that refurbished and previously-used goods are sold in that condition, and that the description on the product page forms part of this contract.
Where goods are sold as For Parts, they are expressly not functional and carry no functional warranty.
Warranty
The warranty granted is as described on the product page and on the [Warranty page](/warranty). It is a separate contractual right and does not affect the buyer's statutory or common-law rights in the destination country.
The warranty period runs from the date of delivery, not the date of invoice.
Liability
Renfeng's total liability under this contract is limited to the invoice value of the goods in question. Renfeng is not liable for indirect or consequential loss, including loss of profit, loss of business, loss of data arising from a failure, or loss arising from downtime.
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for any liability that cannot lawfully be limited.
Force majeure
Neither party is liable for failure to perform caused by events beyond its reasonable control, including natural disaster, epidemic, war, embargo, port closure, strike in the destination country, container loss or general shortage of shipping space. Where force majeure persists for more than 90 days, either party may terminate the contract without liability, and Renfeng will refund any payment made for goods not shipped.
Governing law and disputes
This contract is governed by the laws of the People's Republic of China. Any dispute arising from it shall first be attempted in good-faith negotiation between the parties. If not resolved within 30 days, the dispute shall be referred to arbitration at the China International Economic and Trade Arbitration Commission (CIETAC), Guangzhou sub-commission, with the language of arbitration being English.
Nothing in this clause prevents either party from seeking urgent injunctive relief from a court of competent jurisdiction.
Export control and compliance
The buyer confirms it is not subject to export restrictions that would prohibit the purchase or onward transfer of the goods, and that it will not resell the goods to any party prohibited under applicable sanctions or export control law.
